1. Agreement
These terms govern your use of PassCast as a Community event organiser. By creating a Community account and accepting these terms during signup, you enter into a binding agreement with ArdSeek Media Ltd (“PassCast”, “we”, “us”), a company registered in Ireland.
2. Eligibility and Approval
Community accounts are available to individuals and organisations who wish to stream live events and sell pay-per-view tickets through PassCast. All accounts are subject to approval by PassCast before any event can be published or go live. We may decline applications at our sole discretion and are not required to provide reasons for doing so.
You must provide accurate information during signup, including a truthful description of what you intend to stream and a reasonable estimate of your expected viewership. Providing false or misleading information is grounds for immediate account termination.
3. Your Responsibilities
You are solely responsible for all content streamed through your Community events. This includes ensuring you hold all necessary rights, licences, and permissions to broadcast the content. You must comply with all applicable laws in your jurisdiction, including but not limited to broadcasting regulations, data protection legislation, and intellectual property laws.
You must not stream content that is illegal, defamatory, obscene, hateful, or that infringes the rights of any third party. You must not stream content involving the exploitation of minors in any form.
PassCast does not pre-screen content but reserves the right to monitor streams and take action as described in Section 8.
4. Pricing and Ticket Sales
The minimum ticket price for Community events is £5.00 (or the equivalent in your configured currency). There is no maximum price. You set the ticket price for each event.
Live tickets grant access to the live stream only. On-demand tickets grant access to the recorded replay for 72 hours after the event ends. These are separate purchases for viewers.
All prices are displayed to viewers inclusive of any applicable processing fees. PassCast does not add surcharges at checkout.
5. Revenue Share and Fees
PassCast charges a 20% revenue share on all ticket sales from Community events. The calculation depends on how payments are processed:
If you connect your own Stripe account: PassCast takes 20% of the gross ticket price. Stripe processing fees are deducted separately by Stripe from your account. Revenue is paid out by Stripe according to your Stripe account settings.
If payments are processed through PassCast's Stripe account: PassCast takes 20% of the net amount (gross ticket price minus Stripe processing fees). Your share is paid out manually by bank transfer as described in Section 6.
PassCast reserves the right to adjust the revenue share percentage for future events with 30 days written notice. Changes do not apply retroactively to events already created.
6. Payouts
If you connect your own Stripe account, payouts are handled directly by Stripe and are subject to Stripe's terms and payout schedule.
If payments are processed through PassCast's Stripe account, payouts are made by bank transfer on the following schedule: revenue from live ticket sales is paid out 14 days after the event ends; revenue from on-demand ticket sales is paid out on the 1st of the month following the month in which the on-demand access period expires.
You are responsible for providing accurate bank details. PassCast is not liable for delays or losses caused by incorrect bank details provided by you.
7. Refunds
PassCast handles viewer refund requests on your behalf. Refunds may be issued at our discretion where a technical failure on our platform prevented a viewer from accessing content they paid for. You will not be charged the revenue share on refunded amounts. Refunds for reasons outside our control (event cancellation, poor content quality, or viewer error) are your responsibility to resolve with your viewers.
8. Content Moderation and Removal
PassCast reserves the right to immediately terminate a live stream, remove on-demand content, or suspend your account if we reasonably believe your content violates these terms, infringes third-party rights, or poses a legal risk to PassCast or its users.
We will respond to valid takedown requests in accordance with applicable law, including DMCA or equivalent local provisions.
If your stream is terminated by PassCast due to a content violation, you are responsible for any refunds owed to viewers. PassCast retains its revenue share on tickets sold prior to termination.
9. Community Hub Listing
Approved Community events are listed on the PassCast Community Hub by default. This is a public directory of upcoming and past events on passcast.tv. You may opt out of this listing during event setup. PassCast may also remove your event from the Community Hub at any time without notice.
10. PassCast Branding
Community events display a “Powered by PassCast” badge on the viewer page. This branding cannot be removed on the Community tier. If you require white-label branding, please contact us about our Channel or Enterprise plans.
11. Data Protection
PassCast processes personal data from your viewers (email addresses and payment information) in order to provide the streaming and ticketing service. PassCast acts as a data processor on your behalf for viewer data related to your events.
You are responsible for ensuring you have a lawful basis for collecting viewer data through your events and for complying with applicable data protection legislation (including GDPR and the Data Protection Act). You must not use viewer data obtained through PassCast for purposes unrelated to the events you have streamed.
12. Limitation of Liability
PassCast provides the platform on an “as is” basis. While we make reasonable efforts to ensure availability and reliability, we do not guarantee uninterrupted service. Technical issues including but not limited to stream outages, encoding failures, or payment processing delays may occur.
To the fullest extent permitted by law, PassCast's total liability to you in connection with your use of the Community tier shall not exceed the total revenue share retained by PassCast from your events in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless ArdSeek Media Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your content, your breach of these terms, or your violation of any third-party rights.
14. Termination
You may close your Community account at any time by contacting us at kevin@passcast.tv. Any outstanding payouts will be processed according to the schedule in Section 6.
PassCast may suspend or terminate your account at any time for breach of these terms, or for any reason with 14 days written notice. In the event of termination for breach, PassCast reserves the right to withhold outstanding payouts pending resolution of any disputes.
15. Governing Law
These terms are governed by the laws of Ireland. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
16. Changes to These Terms
PassCast may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
